The foregoing license may be terminated or expire without renewal, in which case neither the Units nor any part of the Project will be identified as a MONTAGE-branded project or have any rights to use the Trademarks. (“SMCL”) uses the MONTAGE brand name and certain other Montage trademarks (the “Trademarks”) in connection with the sales and marketing of the Units in the Project under a limited, non-exclusive, non-transferable and non-sublicensable license from Montage. (collectively, “Montage”) (Montage may receive a financial benefit from the sale or lease of a Unit) and Montage does not make any representations, warranties or guarantees whatsoever with respect to the Units, the Project or any part thereof. The project described herein (the “Project”) and the located within the Project (the “Units”) are not developed, sold or leased by Montage Hotels & Resorts, LLC, Montage North America, LLC and/or Montage Bahamas Operations Ltd. No governmental agency has judged the merits or value, if any, of the development.
